This Client Services Agreement (the "Agreement") is between Entitled Government Contracting, LLC ("we," "us," the "Firm") and the person or business named at checkout or on the invoice (the "Client," "you"). It covers every purchase from us: sessions, session builds, courses, guidebooks, cohort seats, masterclasses, bundles, membership, the retainer, LLC formation, and custom work described in an accepted quote. Version of October 2026.
1. What we provide
We are a business consulting and education firm. We teach small businesses how government buys, advise them on entering and working the federal, state, and local contracting markets, and prepare certain documents they direct us to prepare. Services are delivered as recorded courses, written guidebooks and templates, private sessions and multi-session builds, group programs, written reviews, and LLC formation filing, each as described on our website at the time of purchase. Custom work is described in a written quote that becomes part of this Agreement when you accept it.
LLC formation is document preparation and filing. You provide the entity type, name, address, owners, and agent; we prepare your state's formation form from that information, submit it, and obtain the federal tax identification number. We do not draft custom governing documents or serve as your registered agent unless separately agreed, your state's filing fee is billed at cost before filing, and approval of the filing is the state's decision.
2. What a consulting firm cannot do or promise
Our advice is business advice. We do not give legal, tax, accounting, or investment advice, and nothing we say or write is a legal opinion on your eligibility, your contracts, your disputes, or your compliance with any law. When a question needs a licensed professional in one of those fields, we say so, and you are free to bring it to anyone you choose.
We are not affiliated with, endorsed by, or acting on behalf of SAM.gov, the U.S. Small Business Administration, the General Services Administration, any state procurement office, or any other government body, and we do not act as your agent or representative before any of them. We do not register you, certify you, or submit bids under our own login or in our own name, and we do not lobby or advocate for you with any buyer. We do not write your proposals unless that work is separately quoted and accepted.
We cannot promise results. No registration approval, certification, contract award, revenue figure, or timeline is guaranteed or implied by anything on our website, in our materials, or in a session. Government buyers decide on their own criteria and schedules, certifying bodies apply their own rules, and states approve or reject filings on their own terms. Figures on our website, including our owner's contract history, describe experience and are not a forecast for you.
3. Your responsibility
You are buying education, structure, and advice, and the decisions remain yours: whether to bid, what to bid, what to certify, what to sign, and how to form your company. Your results depend on your eligibility, your pricing, your past performance, the quality and timeliness of what you submit, and market conditions we do not control. Examples, templates, and sample documents show how the process works and must be adapted to your facts before use. You are responsible for the accuracy of every registration, certification, representation, filing, and proposal your business submits, for meeting every deadline, and for complying with the rules of each buyer and agency you deal with. You agree to confirm any requirement, threshold, or rule against the current official source before relying on it, because government rules change without notice.
4. Your registrations stay yours
We do not create or hold SAM.gov, state procurement portal, or other government accounts on your behalf. You complete registrations under your own login, with our guidance. Information you give us for an LLC formation is used only for that filing and the related tax identification request.
5. Fees and payment
Fees are stated on our website or in your written quote, in US dollars, and are paid online at checkout before anything is scheduled, delivered, or filed. Card, Apple Pay, Google Pay, bank transfer, and, where offered at checkout, pay-over-time plans through Klarna or Afterpay are accepted through Stripe; charges appear on your card or bank statement as ENTITLED GOV CON. Strategy and advice session fees are credited toward a session build or the retainer booked within 30 days of the session. Sessions in a build are scheduled within the period stated for that build (30 days for three sessions, 90 days for six), and unscheduled sessions expire at the end of that period unless we agree otherwise in writing. Membership bills monthly and may be cancelled at any time for future months. The retainer bills monthly, carries a three-month minimum, and then continues month to month, cancellable by either party with 30 days' written notice. Government fees, state filing fees, software subscriptions, and other third-party costs are not included in our fees and, where we advance them, are billed to you at cost.
6. Sessions, scheduling, and group programs
Sessions are held online by appointment. You may reschedule by email up to 24 hours before the start time at no charge; changes with less notice, and missed sessions, forfeit the fee, because that time was held for you. If we must reschedule, we offer a new time within ten business days or a refund of that session. Written notes follow each private session within one business day. Group sessions, masterclasses, and cohort meetings are recorded for participants, and recordings are for the enrolled participants only. In group programs you agree to keep other participants' information confidential, to bring your own business rather than someone else's, and to treat other participants with courtesy; we may remove a participant who does not, with a refund of any unused portion.
7. Cancellation within 48 hours; guidebooks and templates are final sale
Except for guidebooks and templates, you may cancel any purchase for a full refund by written notice to billing@entitledgovcon.com within 48 hours after your payment is received. The window is measured from the time Stripe records the payment, and the refund is returned to the original payment method within ten business days. Four things end the window early, because the value has already been delivered: a session or masterclass that begins inside the window, course access sent inside the window at your request, the first working session of a build, cohort, or bundle, and the submission of an LLC formation filing to the state. After the window closes, fees are non-refundable except as stated in Section 8.
Guidebooks and templates bought on their own (each guidebook, the template libraries, and the complete guidebook library) are digital goods delivered by email immediately after payment, and every such sale is final. Because the files are delivered the moment you pay, there is no cancellation window and no refund, credit, or exchange for any reason, including a change of mind or a decision not to use the files, and delivery to the email address you provided is receipt whether or not you open the files. If a file will not open, write to us and we will send a working copy; that is your remedy. A chargeback on a delivered guidebook or template is a breach of Section 9. Courses are delivered after the 48-hour window closes; if you would like access sooner, reply to your receipt and we will send it immediately, which ends your right to cancel that purchase. Guidebooks included in a bundle are delivered with the bundle and follow the bundle's window. LLC formation filings are prepared during the window and submitted after it closes unless you ask in writing that we file sooner, which ends your right to cancel that order.
8. Refunds after the window
Unused sessions in a build are refundable within 90 days of purchase, with sessions already held charged at the single-session rate of $700. Cohort seats are refundable in full until the published application deadline and are not refundable after it. Prepaid retainer months are refunded pro rata if we end the engagement; they are not refunded if you end it before the three-month minimum. An LLC formation order is refundable in full until the filing is submitted; after submission the fee is earned, and state filing fees are never refundable by us once paid to the state. If a state rejects a filing because of an error we made, we correct and resubmit it at no charge, and that correction is your remedy for preparation errors. If we cannot deliver a purchased service at all, we refund it in full.
9. Billing questions, chargebacks, and disputes
If you have a question or concern about any charge, you agree to contact us first in writing at billing@entitledgovcon.com and allow one business day for a response; most billing questions are resolved the same day, and every refund this Agreement provides is issued without a dispute.
By paying, you acknowledge that you are the authorized cardholder or account holder; that our services are delivered electronically and by scheduled session to the email address you provide, and that delivery to that address is receipt; that the cancellation and refund terms above were disclosed to you in writing before payment and you accept them; and that you will not initiate a payment dispute or chargeback for services delivered as described in this Agreement. A chargeback filed contrary to this paragraph is a breach of this Agreement. If one is filed, we may submit your checkout acceptance, our delivery records, session records, and our communications with you to the card network, and we may pursue the amount reversed, the dispute fees our payment processor charges us, and our costs and reasonable attorney fees where authorized by A.R.S. § 12-341.01, in small claims court or another court of competent jurisdiction.
Before filing any claim, dispute, or chargeback, you agree to give us written notice describing the concern and five business days to correct it. Disputes we cannot resolve informally are resolved by binding individual arbitration under the American Arbitration Association Consumer Arbitration Rules in Maricopa County, Arizona, except that either party may bring an individual claim in small claims court. Claims are brought individually and not as part of any class or representative action.
10. Materials and license
Courses, guidebooks, templates, recordings, session notes, and every other material we provide are copyrighted works of Entitled Government Contracting, LLC and are licensed, not sold, to the Client for use in the Client's own business for as long as we make them available. The exclusive rights to reproduce, distribute, and display them belong to us under 17 U.S.C. § 106, and copying, reselling, forwarding, posting, or sharing them outside the Client's business, or using them to create competing training, is infringement under 17 U.S.C. § 501 and a breach of this Agreement. Clients who want to share our work may send others to our website or use our referral program. Documents you complete from our templates, and the filings we prepare for you, are yours.
11. Confidentiality and your information
We keep what you tell us about your business confidential and use it only to deliver our services, unless disclosure is required by law or you ask us to share it. Payment details are handled by Stripe and never reach our systems. Your information is held in the services we use to run the firm, such as Stripe, Google Workspace, Netlify, and our scheduling and course platforms, each under its own terms. We do not sell your information. You may ask us to correct or delete what we hold, subject to the records we must keep for tax and legal purposes.
12. Third parties and government systems
We rely on third-party services and on government systems we do not control: Stripe for payment, Google Meet for sessions, SAM.gov, state portals, and state filing offices, among others. We are not responsible for their outages, processing times, fee changes, or decisions, and a delay caused by one of them is not a failure of our service. Where a third-party charge is part of your order, such as a state filing fee, it is billed at cost and governed by that body's own rules.
13. Referral program
If you refer clients to us or arrive through a referral, the program terms published on our Refer and earn page are part of this Agreement. Commissions are earned only on a referred client's first purchase, only when the code is entered at checkout or on the readiness questionnaire before the purchase, and only after the client's 48-hour window has closed and the payment has settled.
14. Independent relationship
We are an independent consulting firm. Nothing in this Agreement makes us your employee, partner, joint venturer, agent, or fiduciary, and neither party may bind the other. You do not acquire any interest in our business, and we do not acquire any interest in yours.
15. Authority, electronic records, and signature
The person completing checkout confirms that they are at least 18, that they are authorized to bind the business named at checkout, and that they are the authorized holder of the card or account used. You consent to receive this Agreement, receipts, notices, and all materials electronically at the email address you provide, and you agree that typing your name at checkout and confirming the acknowledgments there is your electronic signature with the same effect as a handwritten one under the federal E-SIGN Act and the Arizona Electronic Transactions Act. We keep a record of your acceptance, including the date, time, and version accepted, and you may request a copy at any time.
16. Responsibility for what you submit
You agree to hold us harmless from claims, penalties, and losses that arise from information you provide, from representations or certifications your business makes to any government body, from filings submitted with information you supplied, from your use or adaptation of our materials, and from your bids, contracts, and performance. This does not cover losses caused by our own negligence or breach of this Agreement.
17. Limitation of liability
To the fullest extent the law allows, our total liability under this Agreement is limited to the fees you paid us for the service in question, and neither party is liable to the other for indirect or consequential damages, including lost profits, lost awards, or lost opportunities. Nothing in this section limits liability that cannot be limited by law.
18. Ending the engagement
You may end membership at any time for future months and the retainer as described in Section 5. We may decline or end an engagement, with a refund of any fees paid for services not yet delivered, if a request falls outside what a consulting firm may do, if information you provide is knowingly false, if you misuse our materials, or if you treat our staff or other participants abusively. Sections 2, 3, 9, 10, 11, 16, 17, and 19 survive the end of any engagement.
19. General
This Agreement is governed by the laws of the State of Arizona. This Agreement, your checkout record or invoice, and any accepted quote are the entire agreement between us and replace any earlier discussion. If any provision is found unenforceable, the rest remains in effect. We may update this Agreement for future purchases; the version you accepted governs the purchase it was accepted for, and the current version is always available on our website. Notices to us go to clients@entitledgovcon.com; notices to you go to the email address you provided at checkout.
